1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", or "you") and Neonex Technologies Co., Ltd. ("Company", "DeployNex", "we", "us", or "our") governing your access to and use of the DeployNex web application, API, agent software, and associated documentation (collectively, the "Service").
By registering an account, clicking an acceptance button, enrolling an agent, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you possess the authority to bind that entity.
2. Description of the Service & BYOS Model
DeployNex provides an orchestration control plane designed to manage Ubuntu servers, automate application deployments (including PHP and Node.js presets), manage database services, configure domain SSL/TLS certificates, schedule backups, and track operational jobs.
DeployNex operates on a "Bring Your Own Server" (BYOS) architecture. The Service does not provide underlying compute hardware or VPS instances. Customers are solely responsible for provisioning, purchasing, and maintaining their own Ubuntu servers with their selected cloud, VPS, or dedicated hosting providers.
- The DeployNex agent runs locally on your server under standard systemd management to execute orchestration jobs dispatched by the control plane.
- In the event of control-plane unavailability, your server continues running existing deployed applications and background workers independently.
3. Account Registration & Security
To use the Service, you must register an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, passwords, API tokens, one-time enrollment tokens, and multi-factor authentication (MFA) devices.
You agree to promptly notify DeployNex at info@deploynex.com if you discover or suspect any unauthorized access to your account or any security compromise affecting connected infrastructure.
4. Customer Responsibilities
As a user of the Service, you acknowledge and agree that you retain sole responsibility for:
- Operating system maintenance, security updates, kernel patches, and system hardening on all connected servers.
- All compute, bandwidth, storage, and networking fees billed directly by your third-party hosting or cloud providers.
- Configuring appropriate database backups, off-server backup destinations (e.g., S3-compatible object storage), and periodically validating restore procedures.
- Ensuring that all software, code, dependencies, and content deployed through DeployNex comply with applicable laws and intellectual property rights.
5. Acceptable Use Policy
You agree not to use the Service or any connected server to engage in any prohibited activities, including but not limited to:
- Distributing malware, ransomware, spyware, trojans, or other harmful malicious code.
- Conducting unauthorized vulnerability scanning, penetration testing, port scanning, or denial-of-service (DoS/DDoS) attacks against any third party or platform infrastructure.
- Performing unauthorized cryptocurrency mining that violates your hosting provider terms or platform quotas.
- Sending unsolicited bulk email (spam) or violating anti-spam regulations.
- Infringing upon the copyright, trademark, trade secret, or other proprietary rights of any third party.
- Violating any applicable law, rule, or regulation in Thailand or the jurisdiction in which your servers are located.
6. Intellectual Property Rights
The DeployNex platform, user interface designs, logos, software agents, control-plane APIs, and documentation are the proprietary intellectual property of Neonex Technologies Co., Ltd. and its licensors. All rights not expressly granted to you are reserved.
You retain all rights, title, and ownership in and to your application source code, repositories, databases, files, and proprietary configurations deployed to your servers. DeployNex claims no ownership interest in customer code or data.
7. Plans, Fees, and Payments
Certain tiers of the Service are offered subject to subscription fees based on resource quotas (such as connected servers, managed applications, team seats, and backup retention).
Fee schedules, billing cycles, and invoice delivery are governed by your selected plan tier as displayed on the platform console or pricing page.
Thai Customers (TH): Invoiced and charged in Thai Baht (THB) inclusive of 7% VAT. Thai transactions contract directly with Neonex Technologies Co., Ltd. processed via Stripe, and full electronic tax invoices/receipts are issued in accordance with the Thai Revenue Code.
International Customers (Non-TH): Orders are placed in US Dollars (USD) and fulfilled by Paddle.com (Paddle.com Inc. / Paddle Payments Ltd.) acting as Merchant of Record (MoR) and authorized reseller. International transactions and sales taxes are governed by Paddle Checkout Buyer Terms.
Refund eligibility and cancellation rules are specified in our Refund Policy (/refund).
8. Service Availability & Maintenance
DeployNex uses commercially reasonable efforts to maintain high availability of the control plane and web console. Scheduled maintenance windows will be announced in advance when practicable.
We do not guarantee that the Service will operate without interruption or defects. Because your applications run directly on your own servers via local supervisor processes, control-plane maintenance or downtime does not terminate currently running customer workloads.
9. Disclaimer of Warranties & Limitation of Liability
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Neonex Technologies Co., Ltd., ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE OR THIRD-PARTY HOSTING OUTAGES.
10. Termination and Suspension
You may terminate your account at any time through the organization console settings or by providing written notice to info@deploynex.com.
DeployNex reserves the right to suspend or terminate your account immediately without prior notice in the event of material breach of these Terms, non-payment of overdue fees, or when reasonably necessary to prevent security risks to other users or systems.
11. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.
Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts of Thailand, and you irrevocably submit to the personal jurisdiction of such courts.
12. Modifications to Terms
We reserve the right to revise these Terms at our discretion. Updated versions will be published on the Service with an updated revision date (e.g., version 2026-10-15). Continued use of the Service following published revisions signifies your acceptance of the amended Terms.
